In order for you, or your company, to obtain or continue using services as described at http://www.bee2buy.com, as such descriptions may be changed by Bee2Buy from time to time (the "Bee2Buy Services"), you must agree to hand accept the terms and conditions of this agreement (the "Agreement"). This Agreement sets out the terms and conditions under which you may utilize the Bee2Buy Services. Please read this Agreement carefully. It is important that you understand that upon your acceptance of this Agreement, by continuing to use any of the Bee2Buy Services.

Access to and use the Premium Services are governed by additional terms and conditions under separate agreements in addition to this Agreement. Bee2Buy reserves the right to deny Premium Services to any User for whatever reason in order to protect the interests of Bee2Buy.
  2. In order to access some features of the Website, you will have to create an account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Bee2Buy immediately of any breach of security or unauthorized use of your account. Although Bee2Buy will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Bee2Buy or others due to such unauthorized use.
  3. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc., that accesses the Website in a manner that sends more request messages to the Bee2Buy servers in a given period of time than a human can reasonably produce in the same period by using a convention on-line web browser. Notwithstanding the foregoing, Bee2Buy grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Bee2Buy reserves the right to revoke these exceptions either generally or in specific cases. If you provide any information that is untrue, inaccurate, not current or incomplete, or Bee2Buy has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Bee2Buy has the right to suspend or terminate your account and refuse any and all current or future use of the Products and Services. All Bee2Buy registrations become the exclusive property of Bee2Buy, its subsidiaries. Bee2Buy reserves the right to use and reuse all registration and other personally identifiable user information. Users may edit, update, alter or obscure their personally identifiable information at any time by following the instructions located in Bee2Buy sites.

MEMBER CONDUCT You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not Bee2Buy, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. Bee2Buy does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Bee2Buy be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

You agree to not use the Service to:

You acknowledge that Bee2Buy may or may not pre-screen Content, but that Bee2Buy and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or move any Content that is available via the Service. Without limiting the foregoing, Bee2Buy and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable. In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize Bee2Buy to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service; and (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in the User Submission to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service. For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to Bee2Buy, you hereby grant Bee2Buy a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Bee2Buy Website and Bee2Buy's (and its successor's) business, including without limitation for promoting and redistributing part or all of the Bee2Buy Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Bee2Buy Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The foregoing license granted by you terminates once you remove or delete a User Submission from the Bee2Buy Website.

Bee2Buy does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Bee2Buy expressly disclaims any and all liability in connection with User Submissions. Bee2Buy does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and Bee2Buy will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. Bee2Buy reserves the right to remove Content and User Submissions without prior notice. Bee2Buy will also terminate a User's access to its Website, if they are determined to be a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than twice and/or has had a User Submission removed from the Website more than twice. Bee2Buy also reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Bee2Buy may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.
